One Credit Certificate Course on Corporate Governance:

Introduction:

The corporate sector thrives on strong professionals equipped with legal and governance skills. This certificate course is designed to provide stakeholders with an in-depth and dynamic understanding of corporate governance in India, focusing on legal frameworks, compliance, and practical insights from industry experts.

Course Objectives:

  • Provide foundational knowledge of the Indian legal system.

  • Focus on the Companies Act, 2013 and SEBI Regulations.
  • Highlight the role and functions of the Securities and Exchange Board of India (SEBI) in corporate governance.

Evaluation & Instructions:

  • Duration: One month, with 10 online sessions (90 minutes each).
  • Attendance: Minimum 70% required.
  • Assessment: One take-home assignment (graded out of 100). Minimum 60% marks required for certification.

Part I: Law and Legal System of India

  • Module 1: Introduction to Law – Sources, Rights, Duties, Liabilities.
  • Module 2: India’s Court System – Courts, Tribunals, Jurisdiction.

Part II: Corporate Governance

  • Module 1: Introduction – Meaning, Growth, Theories.
  • Module 2: Corporate Governance & Companies Act, 2013 – Stakeholders, Class Action, Compliance.
  • Module 3: SEBI & Corporate Governance – Role of SEBI, SEBI Regulations (LODR 2015, ICDR 2018), Banking Regulations.
